HUAWEI ID User Agreement

1 About Us

HUAWEI ID and its related technologies and functions (collectively, the "Services") are operated by Huawei Software Technologies Co., Ltd. (hereinafter referred to as "Huaweiweus", or "our"). In this Agreement, "you" and "user" refer to any individual that uses and/or accesses the Services.

2 Purpose of This Agreement

This user agreement and other service terms, rules, or notices published by Huawei for the Services (collectively, this "Agreement") are the terms and conditions applicable to you with regard to your use of, and access to, the Services. This Agreement tells you how we will provide the Services to you, what activities are permitted or not permitted, by or in connection with the Services, what to do if there is a service issue, and other important information. Please read this Agreement carefully, especially any clauses about exclusion or limitation of liability, governing laws, dispute resolution, and other important terms written in bold to draw your attention.

Once you agree to this Agreement or use the Services as prompted on the screen, it is deemed that you have entered into a binding legal contract with Huawei, and Huawei will perform its applicable contractual obligations in accordance with this Agreement. If you do not agree to this Agreement, you must not access or use the Services.

You understand that Huawei provides users with extensive products and services (collectively, the "Huawei Services"), and some agreements or terms specific to particular Huawei Services (the "Service Terms") may apply to you. Such applicable Service Terms will be provided with the particular Huawei Services, and constitute a part of the agreement between you and Huawei once you agree to the Service Terms or use the Huawei Services.

3 Requirements on Using the Services

You explicitly declare and undertake that you have sufficient legal rights or authorization to sign and fulfill this Agreement. Your signing and fulfillment of this Agreement will not cause conflicts with or breach of any other agreement or arrangement you shall perform.

If you are a minor (under the age of 18), please read this Agreement with your parents or legal guardians to ensure that they clearly understand the content of this Agreement before you decide to use the Services. Please do not use the Services before you have obtained consent from your parents or legal guardians. In particular, if you are a child (a minor under the age of 14), please make sure to notify your parents or legal guardians about carefully reading with you this Agreement and the Huawei Consumer Business Statement About Children's Privacy Protection specifically formulated by us before you use our services, and use the Services after your parents or legal guardians agree to the Parent/Guardian Agreement and create a HUAWEI ID for you. In addition, we advise parents or legal guardians to exercise reasonable supervision and guidance over their child's use of the Internet, mobile phones, and other devices.

When you log in with your HUAWEI ID to use Huawei services, an Internet connection is required in order to check your agreement signing records.

To use the Services, you must have one or more devices that are compatible with the Services and have connected to a mobile data service network or WLAN, and you shall pay for the aforementioned devices and network connection services.

4 Accessing the Services

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services, subject to, and in accordance with, this Agreement.

5 The Services

The Services provide you with account and related features (as detailed in Sections 5.1 and 5.2). With your consent, we will provide you with more features (as detailed in Section 5.3).

5.1 Account features

As your ID for accessing Huawei services, HUAWEI ID provides you with a consistent user experience and security authentication when you use services such as AppGallery, HUAWEI CLOUD, HUAWEI CLOUD Meeting, HUAWEI Video, and HUAWEI Music, as well as Huawei terminal devices and related services provided by partners. Available features include account registration and login, account security and risk control, real-name authentication, address management, service messages, Family Sharing, device interconnectivity, Feedback, Help, product O&M, HUAWEI ID suggestions, 3D avatar, and legacy contacts.

In particular, the legacy contacts feature allows you to select one or more (up to five) legacy contacts to access or download your specified digital assets after your death, including your data (including photos, videos, contacts, and Drive files) stored in Cloud, as well as copies of personal information that is linked with your account and generated when you use Huawei Mobile Services. However, such data excludes copyright-protected media resources, proprietary benefits or assets (such as membership benefits and payment accounts), and data concerning your own or a third party's privacy (such as original call records and SMS messages). Please manage and update your legacy contacts at your own discretion.

5.2 Using related features

Note: Cloud services described below are only available after you log in to your account on a Huawei terminal device. If you have only purchased HUAWEI CLOUD, the following content does not apply to you.

5.2.1 Growth system services

You understand that if you register a new HUAWEI ID on a Huawei terminal device, you will become a Huawei member at the same time.

If you are an existing HUAWEI ID holder who was not granted membership previously, you will become a member and enjoy membership benefits once you log in to the HUAWEI ID on a Huawei terminal device.

In order for us to provide you the membership level information and growth points, as well as the associated exclusive benefits, points, tasks, and badges, and other services and rewards, you agree to grant your consent for us to match the membership level information under your HUAWEI ID with a Huawei product or service when you log in to the product or service using your HUAWEI ID.

You have the right to use your legally obtained HUAWEI ID and membership benefits thereunder, such as membership points, activity points, privileges, and badges. If you breach this Agreement or rules for such membership benefits, Huawei has the discretion to withdraw the membership benefits concerned without your consent.

If you have used apps like AppGallery to switch the service country/region of your HUAWEI ID to a location different from the one you selected when you created your HUAWEI ID, we will not be able to provide you with membership services.

My assets

For the purpose of helping you better manage user assets under your HUAWEI ID, a Huawei app logged in to your HUAWEI ID may allow you to check in-app information about any cash balance, virtual currency, coupon, and asset in the form of credit capacity linked with your HUAWEI ID, as well as relevant asset expiration information. Such information may include your Huawei Pay account balance, the number of your Huawei Pay bank cards, the number of your Huawei Pay red envelopes, the amount of your HUAWEI Points, points, and gold coins specific to the app, the number of your coupons specific to the app and your HUAWEI Wallet cards and tickets, your Huawei Card credit limit, and your maximum borrowable amount in HUAWEI Wallet. If there is the need to display the number of your HUAWEI Wallet cards and tickets under "My assets", the Wallet app will be launched in the background to retrieve the information.

5.2.2 Cloud

You understand that Cloud services will be automatically enabled if you log in to your HUAWEI ID on devices that provide the Cloud services (including but not limited to phones, tablets, and computers).

Cloud provides you with secure and reliable digital asset management services. With the services, you can store your photos, videos, contacts, notes, app data, and so on on the cloud. You must create your HUAWEI ID before using the services. You can disable or partially disable Cloud services. Once Cloud services are enabled, your data will be automatically stored on our servers.

You understand that your data is stored in Cloud in encrypted form, and that you can only view or manage your data on devices that provide the Cloud services and on the Cloud website (cloud.huawei.com).

We provide you with the following Cloud features. Cloud is independent from HUAWEI CLOUD. You need to activate HUAWEI CLOUD separately to use it.

Cloud services in the latest version consist of basic plans and Cloud+ plans.

Basic plans

After you register a new HUAWEI ID and log in to devices (including but not limited to phones, tablets, and computers) that provide Cloud services, a basic plan will be activated for your account for free. However, if you hold an old account, you can upgrade your Cloud services to the new version. Such upgrade is irreversible. No limit is imposed on your storage space under a basic plan. You can store all supported basic data to Cloud.

Cloud Backup will automatically create basic data backups for your devices (including phones and tablets) periodically when the devices are locked, charging, and connected to wireless networks. After the backup, you can restore your devices when necessary. To help you more quickly restore apps, you agree that we can download the latest app versions for you from AppGallery when you restore the data using cloud backup. Data that will be backed up under a basic plan includes system Settings, Contacts, Messaging, Call logs, Notepad, and Calendar data.

We will keep one successful backup record for you on a single device. Historical backup records will be overwritten by new backup records. If your device has not backed up any data to Cloud for more than 180 days, we reserve the right to delete any backups related to the device and stop subsequent backups.

You understand that data backed up to Cloud may fail to be restored or become unavailable after restoration due to reasons such as device types, operating system differences, or app compatibility issues. We will do our utmost to ensure the security and reliability of the data involved in the services, but do not guarantee that any content you store or access through the services will not be accidentally damaged or lost. You shall be solely responsible for backing up your important content to your computer or other devices.

Apps using Cloud will be automatically enabled after Cloud is enabled. You can use this service to store data from apps such as Contacts, Notepad, Calendar, WLAN, and Browser to Cloud. Changes (such as additions, modifications, and deletions) to your data in each app (not all the data, subject to the actual support by the app) will be automatically uploaded to Cloud and sent to all other devices that are logged in to the same account and have Apps using Cloud enabled, and the data on those devices will be overwritten. The scope of apps using Cloud may change with updates of the service version. To ensure that your data is stored in Cloud in a timely and secure manner, you understand and agree that we will automatically enable the feature for you. You can disable or partially disable apps using Cloud at any time. Once an app using Cloud is disabled, uploading and updating of data in the app on this device will be stopped.

You understand that data stored to Cloud through Apps using Cloud may appear differently or cannot function properly in the app due to reasons such as variations of the app version or the device used. This is entirely determined by the apps that support this service. Cloud will save all your data for you.

Cloud+ plans

Cloud+ plans are advanced subscription services of Cloud, including additional storage space, an expended data service scope, and advanced benefits. If you subscribe to a Cloud+ plan, or if your Family Sharing group members subscribe to a Cloud+ plan and share it with you, you will obtain the following premium services and benefits:

Cloud+ plans allow you to use Cloud Backup to back up data from third-party apps (such as WeChat) to Cloud. After the backup, you can restore your devices when necessary. There is an upper limit for the number of backup records. If the limit is reached, historical backup records will be overwritten by new backup records. You can also use Apps using Cloud to store supported Gallery and Huawei Notes data to Cloud, and push such data to all your other devices that are logged in to the same account and have Apps using Cloud enabled. If you have enabled Gallery under Apps using Cloud, your data will be automatically stored to the cloud and will not be included in the cloud backup. The scope of services under a Cloud+ plan may be updated with version evolution.

Drive allows you to store files and folders on your device to the cloud. You can view and manage your files at any time from Huawei devices that are logged in to the same HUAWEI ID and have Drive enabled.

Family Sharing allows you to share your Cloud with your family members. You can share your storage space among a maximum of six (6) family members. Data of all members will be securely stored on Cloud. Each family member's stored data is visible only to themselves.

Network acceleration allows you to access a dedicated WiseWAN nearby. We use the hQUIC protocol that supports multi-scenario acceleration, enabling you to quickly upload and download your data from anywhere.

Third-party apps using Drive Kit

If you enable Cloud and use a third-party app that has integrated Drive Kit, you agree that the app will store data to your Drive, and you allow us to collect, store, and process data in connection with matters such as your use of the services or the app on behalf of the third-party app developer. Data that the app stores to your Drive will be included in your cloud storage space. You can access your Drive at any time to view and manage the data generated when you use the app.

Cloud printer

You can remotely print images and office documents on this device by opening the AI Life app and selecting a printer that has been linked with your HUAWEI ID. During the process, your device and the printer do not need to be in the same network. In addition, no additional cloud storage space will be consumed when this feature is used.

You understand that this feature is now only available to some Cloud users. If you cannot use the remote printing feature when printing in the AI Life app, please wait patiently. We will gradually expand the coverage of this feature.

Find Device

Find Device will be automatically enabled after Cloud is enabled. After Find Device is enabled for a device, you can locate, ring, lock, and erase data on the device and its supported accessories (all or some of the aforementioned actions are supported depending on the device or accessory type). To protect your device, you need to enter your account password again when you disable Find Device, erase data, or reactivate your device. To provide Find Service, you understand and agree that we will collect, use, and transmit your location information. You can withdraw your consent at any time by disabling Find Device or Location Services.

Find Network is a short-range information network consisting of a large number of Huawei devices. Devices that have joined the network detect nearby items offline using Bluetooth (or similar technologies). After a device joins Find Network, you can locate the device when it has no access to the Internet. You can also anonymously provide the location information of other devices that have joined Find Network to help locate the devices. Such location information will be anonymized and encrypted before being reported. Huawei cannot view such information.

You can use the Location sharing feature to share the location of your device with a family member or friend of yours so that they can help you locate your device in case it is lost or view your current location.

Before using after-sales support services such as warranty, return, and exchange services, please disable Find Device. Failure to do so may prevent you from using the after-sales support services or affect your service experience. We will do our best to improve the provision of the services for you, but do not guarantee the accuracy, integrity, and timeliness of the location information provided. You shall not rely on the services when you need precise location information. In addition, we are not liable for any failure to find your devices, malicious cracking of your devices, or loss of your device data.

All the aforementioned features or services may vary with devices, member users, countries, or regions, be subject to additions, deletions, or modifications due to service version variations or according to the operational policies of the service providers, or be suspended due to regular or irregular maintenance.

Cloud subscription

You can enjoy an expanded service scope and more benefits by subscribing to a Cloud+ plan. Once your payment is successful, you are already subscribed to the paid services and entitled to enjoy the corresponding benefits and services. Membership services are digital products that are activated upon purchase. Due to the reducing value of the products, we do not support unsubscription without a valid reason. After getting a subscription, your storage space will be changed to the upper limit specified for the plan in question. In addition, the remaining period of your previous plan will be converted and added to the validity period of your new plan. Please note that, except as permitted by applicable Cancellation Rights or other legal provisions, it is not possible to reduce the amount of storage subscribed for after purchase, nor is any refund available.

The total price for you to purchase Cloud services include (1) the price of the services or upgraded plan in question; (2) any credit card fees payable in accordance with applicable rules; and (3) any sales tax, use tax, goods and services tax, value-added tax (VAT), or other similar tax payable under applicable laws and at the rate applicable at the time of the purchase. All prices displayed on Huawei's website are VAT inclusive, unless otherwise explicitly stated (and where permitted by local laws).

You expressly accept and agree that Huawei reserves the right to adjust the purchase price of the Services from time to time and will notify you of the details thereof within a reasonable time. You need to accept the new price once it takes effect if you still want to purchase a "Cloud" storage plan. The services you purchase before the price adjustment shall not be affected.

If you are an annual subscriber, you can cancel your purchase within fifteen (15) days from the date of receipt of our order confirmation notification, in accordance with the terms set forth below.

To meet the cancellation deadline, you must submit your cancellation request before the 15-day period expires. If you need to cancel a purchase, please contact us via the online customer service or Huawei customer service hotline. Orders that satisfy the cancellation conditions will be duly canceled.

After the cancellation is successful, we will restore your storage space to the status before the purchase and refund the purchase price to the original payment method within 14 days from the date when we receive your order cancellation notice.

If you are a Cloud+ plan subscriber, you understand and agree that the Cloud+ plan you are subscribed to has a validity period. If you stop using a Cloud+ plan due to reasons such as no renewal upon the expiry of the plan, cancellation of purchase, and you actively switching to a basic plan, some features (including but not limited to Apps using Cloud, Cloud Backup, and Backup & restore) will become unavailable, and this may result in data exceeding the service coverage (including but not limited to Gallery and Drive data). In this case, you shall upgrade to a Cloud+ plan or download such data that is beyond the service coverage within thirty (30) days of the expiry of the Cloud+ plan concerned. During the period of at least fifteen (15) days from the 31st day to the 45th day after the expiry of the Cloud+ plan, you can regain access to the data beyond the Cloud+ service coverage only by subscribing to the Cloud+ services. If you fail to handle the issue within the aforementioned reasonable periods, Huawei has the right to delete your data beyond the service coverage in order to protect fair use for other users and our legitimate rights and interests, and you shall bear any losses incurred therefrom.

5.3 More features

With your consent, we will provide you with the features described below and process related information.

Login to third-party services

You can use your HUAWEI ID to log in to a third-party service, and the third-party service provider will obtain the HUAWEI ID information your grant (such as profile picture and nickname) after obtaining your consent. In addition, some third-party service providers have integrated the quick login capability of HUAWEI ID.

You can also log in to your HUAWEI ID by linking a third party account, such as QQ, Weibo, WeChat, or Apple ID.

User experience improvement

Efforts are made to improve your HUAWEI ID experience and enable the services to obtain configuration information compatible with your device.

Marketing and personalized ads

We will provide you with marketing notification services, personalized commercial advertisements, and app promotional activities.

The services available to you may vary depending on the device you use.

6 Third-Party Services

If you use HUAWEI ID to log in to any third-party services, we recommend that you carefully read the agreements and privacy statements of the third parties. Huawei is not entitled nor obligated to control or censor the content of products or services provided by a third-party service provider, and shall not assume liabilities in the event that your rights and interests are infringed upon as a result of using such products or services. Huawei is not responsible for the content or availability of any third-party product or service, and makes no commitments, warranties, or guarantees in any form regarding any content, ads, products, services, or other information provided by third parties within the Services. If you do not comply with your agreement with a third party, the third party may take legal action against you.

Any disputes arising from third-party products or services downloaded and used on or through the Services shall be resolved by the third-party supplier, and Huawei shall not assume any liabilities. Huawei does not provide any customer support for third-party products and/or services. If you need support, please contact the third-party supplier.

7 Purchasing

Some services in the Services are provided at a charge. If you use such fee-based services, you shall comply with the related terms.

You agree that providers of paid services reserve the right to adjust the price and notify you of the details thereof within a reasonable time before you make the purchase. You need to accept the new price once it takes effect if you still want to purchase the related goods or services. The products and services you purchase before the price adjustment shall not be affected. If you do not accept the adjusted price, you may stop using the related goods or services.

8 Account and Transaction Security

You shall create your HUAWEI ID with your real identity information, undertake to properly keep your account ID and password, transaction password, bank card or credit card information, and other information related to the account (including but not limited to the information about the device that you have logged in to, order information, and operation record) (hereinafter referred to as "Account and Transaction Information"), and must not share such information with anyone else. We recommend that you choose a strong password and take appropriate measures to protect your account ID and password. You shall bear losses and liability incurred as a result of providing the aforementioned information to a third party or losing your phone or other devices.

If you think that someone else might be using your Account and Transaction Information, you should let us know immediately using the contact information provided in the "Contacting Us" section. You should also immediately change your password. You must not use anyone else's HUAWEI ID to access the Services. You must take appropriate steps to protect your Account and Transaction Information to prevent unauthorized use by third parties.

If you lose your HUAWEI ID information due to personal reasons and want to retrieve it, you can provide the required information to initiate a HUAWEI ID retrieval request. The request can only succeed if the information you provide is valid and complete.

9 Terms of Use

By accessing and using the Services, you undertake and agree to do so in a legal manner and in accordance with this Agreement. You hereby acknowledge and agree that you shall not use the Services to transmit material, or otherwise engage in any activity that is dishonest, defamatory, tortious, harmful, obscene, offensive, bullying, harassing, scandalous, hateful, inflammatory, threatening, profane, pornographic, invasive of privacy, or otherwise objectionable in relation to your use of the Services including without limitation, anything that facilitates illegal activities, depicts sexually explicit images, promotes violence, is discriminatory, illegal, could or does cause damage or injury to any person or property, or could give rise to any civil or criminal liability under applicable laws, including, without limitation, any material that you are not entitled to post or transmit, or where such posting or transmission is in breach of any duty of confidentiality and/or infringes upon third-party intellectual property rights.

Except as expressly set out in this Agreement or as permitted by applicable laws, you hereby agree and undertake:

(a) Not to remove any copyright, trademark, or other proprietary notices from any portion of the Services;

(b) Not to reproduce, make alterations to, or modifications of, the whole or any part of the Services, or permit the Services or any part of them to be combined with, or become incorporated in, any other programs;

(c) Not to gain or attempt to gain unauthorized access to or impair any aspect of the Services or their related systems or networks;

(d) Not to disassemble, decompile, reverse-engineer, or create derivative works based on the whole or any part of the Services, or attempt to do so beyond the extent allowed by applicable laws;

(e) Not to distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Services;

(f) Not to provide or otherwise make available the Services in whole or in part (including the object and source code), in any form to any person without our prior written consent;

(g) Not to impersonate any person or falsely state or otherwise misrepresent your affiliation with a person or entity;

(h) Not to use the Services (or any part(s) thereof) in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with this Agreement, or act fraudulently or maliciously, including without limitation, by hacking into or inserting malicious code, including viruses, or harmful data, into the Services (or into the websites linked to the Services) or any operating system;

(i) Not to infringe upon Huawei's intellectual property rights or those of any third party in relation to your access to and/or use of the Services;

(j) Not to collect users' information, or otherwise access the Services or our systems, using automated means or attempt to decipher any transmissions to or from the servers running the Services;

(k) Not to develop, support, or use software, devices, scripts, or any other means or processes (including crawlers, browser plug-ins and add-ons, or any other technology or manual work) to scrape information from the Services or otherwise copy profiles and other data from the Services;

(l) Not to commercially exploit the Services without our prior written consent;

(m) Not to use the Services to engage in any illegal business transactions, such as selling firearms, drugs, illegal substances, pirated software, or other prohibited items;

(n) Not to provide gambling information or encourage others to gamble through any means;

(o) Not to solicit login information or access an account belonging to someone else;

(p) Not to engage in money laundering, illegal cash advances, or pyramid selling schemes;

(q) Not to use the Services in any manner which could damage, disable, overburden, impair, or compromise the Services, our systems, or security, or interfere with other users or any other party's computer systems or hack or gain unauthorized access to the Services or Huawei Content (defined below) or data;

(r) Not to attempt, facilitate, or encourage any violations of this Agreement (or any part(s) thereof).

10 Huawei Content

Unless expressly specified in this Agreement or otherwise provided by applicable laws, Huawei and/or its licensors, retain all right, title, and interest in and to the information in any form including but not limited to text, video and audio, images, icons, apps, designs, software, scripts, programs, copyrights, trademarks, trade names, logos, and other materials and services available on or through the Services, including their look and feel (collectively, "Huawei Content"). Your access to and/or use of any of the Services does not transfer to you or any other person any ownership or other rights in or to the Services, or their content, unless otherwise specified in this Agreement.

You may not make alterations, copies, extractions, modifications or additions to Huawei Content, or sell, copy, disseminate, license, or misuse Huawei Content in any way. If you want to re-publish, extract, reproduce, disseminate, or otherwise use any of Huawei Content, you must contact Huawei in advance and obtain Huawei's prior written consent unless otherwise expressly provided in this Agreement. This is without prejudice to any rights you may have under applicable mandatory laws.

If you believe that the Services or any part thereof infringes upon any copyright, trademark, patent, trade secret or other intellectual property right, or if you have other concerns regarding the Services, please notify us using the contact information provided in the "Contacting Us" section.

11 Your Content

We do not claim any proprietary rights to the text, files, images, photos, or any other information you upload, post, or otherwise transmit to or through the Services (collectively "Your Content"). You continue to retain ownership and are entirely responsible for Your Content.

12 Monitoring the Services

You understand that, subject to applicable laws and regulations, we have the right to take such measures as we decide are necessary to ensure your compliance with this Agreement, applicable laws, or orders or requirements of any court, decree, administrative agency, or other governmental body, for the purposes of operating and improving the Services (including but not limited to fraud prevention, risk assessment, investigation, and customer support purposes).

We have the right to decide at any time whether Your Content is appropriate and in compliance with this Agreement. If we find that Your Content contains any illegal or inappropriate information, breaches this Agreement, or violates public policy, we have the right to refuse and/or remove Your Content at any time without prior notice and at our discretion and have the right to reject your account creation request.

Illegal and non-compliant content described above includes but is not limited to such that:

(1) Violates the fundamental principles of the Constitution;

(2) Compromises national security, divulges state secrets, subverts state power, or undermines national unity;

(3) Impairs the national honor and interests;

(4) Incites ethnic hatred or discrimination or disrupts ethnic solidarity;

(5) Disrupts the religious policies of the country or publicizes evil cults or feudal and superstitious ideologies;

(6) Spreads rumors, disrupts social order, or undermines social stability;

(7) Spreads or describes content that involves obscenity, pornography, gambling, violence, murder, terror, or abets crimes;

(8) Insults, defames, or infringes on the legal rights and interests of others;

(9) Is otherwise prohibited by laws or administrative regulations.

If any content you upload, post, or transmit contains any of such information or content that violates laws or regulations as described above, or infringes upon the legitimate rights or interests of any third party (including but not limited to patents, trademark rights, copyrights, portrait rights, rights to privacy, and rights to reputation), you will directly bear any and all adverse consequences caused by the foregoing. We will assume applicable responsibilities only when there are clear provisions in law. If adverse consequences are caused thereby to us, you shall be responsible for eliminating the impact and compensating us for any and all losses caused thereby, including but not limited to property damages, reputational damages, attorney's fees, transportation expenses, and other reasonable expenses incurred for safeguarding our rights, or reasonable expenses required by all other platforms.

We have no control over the content transmitted through the Services, nor do we have full control over the usage behaviors of the users. You are solely responsible to assess and bear the risks in relation to any materials downloaded or otherwise obtained by accessing the Services.

Huawei has the right to restrict, freeze, or terminate your use of HUAWEI ID at any time and decide whether to restore your access to HUAWEI ID according to the actual situation, if Huawei reasonably believes that you:

(1) Have obtained a HUAWEI ID not through software or services provided or explicitly licensed by Huawei;

(2) Have obtained a HUAWEI ID through fraudulent means;

(3) Have obtained a HUAWEI ID through malicious registration;

(4) Use a HUAWEI ID registered by some one other than you;

(5) Give, lend, rent, transfer, or sell your HUAWEI ID, or otherwise allow anyone else to use it, beyond the extent allowed by law;

(6) Have created or obtained a HUAWEI ID for illegal purposes.

If you obtain and use a HUAWEI ID in any such manner described above, you shall bear the applicable legal liabilities and losses (including but not limited to communication interruption, and clearance or unavailability of virtual property and related data, value-added services, and products or services), and Huawei reserves the right to pursue your legal liabilities.

13 Privacy and Data Collection

We attach great importance to the protection of your personal information and privacy. You understand and agree that during your use of the Services, we will process your personal information in accordance with the Statement About HUAWEI ID and Privacy (hereinafter referred to as the "Privacy Statement") as necessary for the purposes of providing the Services or based on your consent. Therefore, you need to carefully read the separately presented Privacy Statement to understand the purposes and methods of our personal information processing, types and retention periods of the personal information we process, methods and procedures for you to exercise your user rights, and measures taken by Huawei to protect your personal information.

We will protect your personal information from unauthorized access, use, or disclosure by means of various security technologies and procedures and a well-established management system. We will not disclose your personal information to any companies, organizations, or individuals outside us without your consent unless otherwise required by law.

14 Disclaimers

The Services are for your sole use only and must not be used by any third party. You agree that Huawei and its affiliates, officers, directors, employees, contractors, agents, third-party payment service providers, partners, licensors, and distributors (collectively "Huawei Parties") are not liable for any losses caused by any unauthorized use of the Services.

Your use of the Services may be interrupted, delayed, or disrupted for an unknown period of time for reasons that are beyond our control. You agree that the Huawei Parties will not be liable for any claim arising from or related to such interruptions, delays, disruptions, or similar failures.

We will do our utmost to ensure the security and reliability of the data involved in the Services. However, in light of restrictions of currently available technologies and our service capabilities, to the maximum extent permitted by applicable laws, the Huawei Parties are not liable to you or to anyone else for any damages if you or anyone else are unable to access or use the Services due to:

(a) Any suspension or termination of the Services by Huawei to enable maintenance work or updates to systems, software or hardware to be carried out;

(b) Any communication delay or failure of a system or network that is owned or controlled by someone other than Huawei;

(c) Service interruptions due to force majeure events such as typhoons, earthquakes, floods, power cuts, acts of war, or terrorist attacks;

(d) Service discontinuance due to the discontinuance of services by providers or operators of virtual or digital products and value-added services;

(e) Improper running of the Services due to faults with third-party payment services;

(f) Any errors or interruptions due to hacking attempts or similar security breaches; or

(g) Any other event or occurrence beyond Huawei's reasonable control.

The Services are provided on an "as-is" and "as-available" basis without any undertaking, warranty, or guarantee of any kind. To the maximum extent permitted by applicable laws, the Huawei Parties disclaim all warranties, conditions, or other terms of any kind, express or implied, and make no guarantee, undertaking, representation, or warranty for the following:

(a) The completeness, accuracy, reliability, or timeliness of any of the content made available on or through the Services;

(b) The Services or the server(s) they are hosted on are free from defects, errors, viruses, bugs, or other harmful elements;

(c) Any defects in the operation or functionality of the Services will be corrected;

(d) The specific functions of the Services, the reliability, quality, or accuracy of any information obtained by you as a result of your use of or access to the Services can be guaranteed;

(e) The security or error-free nature of the Services; and

(f) The Services' reliability, quality, accuracy, availability, or ability to meet your needs, provide certain outputs, or achieve certain results or outcomes. The Huawei Parties are not liable for any losses or damages to you caused in whole or in part by you relying upon, using, or interpreting the Services or other information obtained through your (or any other person's) access to and/or use of the Services.

The laws of some countries do not allow certain warranties, guarantees, or liabilities to be excluded or limited by a contract. If these laws apply to you, some or all of the above exclusions or limitations may not be applicable. Nothing in this Agreement affects the rights that you are legally entitled to as a consumer.

15 Termination by You

You can terminate this Agreement by deleting your HUAWEI ID. You can also disable Member Center using the Close Member Center account option, or disable Cloud services using the Disable Cloud option.

You need to log in to your account before you can delete it. If you choose to delete your account, read the following carefully:

(a) All data stored under your account and in your Cloud (including all user content generated under your account) will be deleted.

(b) Upon the account deletion, you will be deemed to voluntarily waive all membership benefits under your account, such as membership points, activity points, privileges, and badges, which cannot be restored.

(c) Huawei will not retain any of the data, files, or stored content under your account after the account deletion. In addition, content and messages that you have sent to other users may not be recoverable.

(d) You will not be relieved of any obligation to pay any outstanding fees on or before the deletion date on the ground of the deletion of your account. Neither Huawei nor any third party will assume any liability for the consequences of the account deletion.

(e) If any bank cards, transportation cards, keys, identity documents, or other passes have been added or any financial accounts such as Huawei Card, Balance, Borrowing, Huawei Pay, or HUAWEI Points accounts have been activated, under your HUAWEI ID in HUAWEI Wallet, you need to delete the Wallet cards, close each of the financial accounts, and properly handle all money balances in your accounts before you can delete your HUAWEI ID. 16 Suspension or Termination by Huawei

Subject to applicable laws and this Agreement, we may suspend, restrict, cancel, or terminate your access to all or part(s) of the Services, without assuming any liability for any individual or third party. We will endeavor to provide notice to you before we do this. However, we may suspend, restrict, cancel, or terminate your access to all or part(s) of the Services without prior notice to you under the following circumstances:

(a) If you violate, or Huawei believes that you are about to violate, this Agreement, including any agreements, policies, or guidelines incorporated herein;

(b) If you, or anyone acting on your behalf, acts fraudulently or illegally, or provides Huawei with any false or misleading information;

(c) In response to requests by law enforcement or other government agencies under valid legal process;

(d) In case of urgent maintenance work or urgent updates to systems or hardware; or

(e) Due to unexpected technical, safety, business, or security reasons.

To make full use of HUAWEI ID resources, if you have left your HUAWEI ID unreasonably idle, for example if you do not complete the verification for activation within three (3) days after creating your HUAWEI ID or you have not logged in to your HUAWEI ID for eighteen (18) consecutive months, Huawei has the right to terminate your access to the account and reserves the right to delete all data and information in relation to the account and/or withdraw the account.

For the purposes of ensuring reasonable use of the storage resources when you are using basic plans provided by Cloud, Huawei is entitled to cease the Cloud services and reserves the right to delete all your content stored on Cloud (including content for which you have set up digital asset inheritance) if you do not use Cloud for twelve (12) consecutive months. We will send you a notice of service termination or data deletion through the notification methods specified in Section 19 of this Agreement thirty (30) days in advance, and freeze your Cloud data. Within thirty (30) days after you receive the notice, you can log in to the Cloud website (cloud.huawei.com) at any time to download your content. You can also use the HUAWEI Mobile Cloud client software (on your mobile phone, tablet, or computer) to request to unfreeze your data so that you can continue to use a basic plan of Cloud. Alternatively, you can subscribe to a Cloud+ plan. For the purpose of this paragraph, the term "use" means accessing, uploading data to, or downloading data from Cloud.

17 Changes to the Services

Huawei is constantly updating, changing, and improving the Services. Huawei may add or remove functions or features, create new limits to the Services, or temporarily or permanently suspend or stop any certain service. Huawei may also modify this Agreement at any time based on updates to the Services.

The updated Agreement will replace the original Agreement once released. If you do not accept the updated terms, please stop using the Services immediately. Your continued access to or use of the Services shall be deemed as your acceptance of the updated Agreement.

We will inform you within a reasonable time period of any changes to this Agreement that will materially disadvantage users or materially limit their access to or use of the Services. For changes to the Services that we need to make to meet security, safety, legal, or regulatory requirements, we may not be able to meet the aforementioned timescales and we will update you about these changes as soon as is practicable.

18 Governing Laws and Jurisdiction

The formation, interpretation, and operation of this Agreement are governed by and construed in accordance with the laws of the People's Republic of China. You and Huawei agree that this Agreement is signed in Longgang District, Shenzhen, Guangdong Province, China. Any dispute arising from the performance of the contracts between the two parties shall be settled through negotiation. If the negotiation fails, either party can file a lawsuit with the people's court with proper jurisdiction in the place where this Agreement is signed.

19 General Terms

The Services or third parties may provide links to other websites or resources. You acknowledge and agree that we are not responsible for the availability of such external websites or resources, and do not make warranties in any form and are not responsible or liable for any content, advertising, products, or other materials on or available from such websites or resources. We are not responsible or liable for any damages or losses caused or alleged to be caused by or in connection with your use of or reliance on any such content, goods, or services available on or through any such websites or resources.

Nothing in this Agreement shall be construed to create a partnership or agency relationship between you and Huawei, and neither party shall have the right or authority to incur any liability, debt, or cost, or enter into any contracts or other arrangements in the name of or on behalf of the other.

Huawei is not liable for any failure or delay in the performance of its obligations under this Agreement or the provision of the Services that is caused by or attributed to matters beyond Huawei's reasonable control.

You may not assign or otherwise transfer any of your rights or obligations under the Agreement without our prior written consent, and any attempted assignment or transfer without such consent will be void. In the event of service upgrade or change of the operator, Huawei may assign, sub-contract, or novate any of its rights and obligations under this Agreement.

If any provision of this Agreement is found by a court of competent jurisdiction or any other competent authorities to be void, invalid, or unenforceable, it shall be deemed to be deleted from this Agreement and all other provisions of this Agreement shall remain in full force and legally effective.

Any provisions of this Agreement which expressly or by their nature are intended to survive the termination of this Agreement shall remain in full force and effect subsequent to and notwithstanding such termination, until such provisions are satisfied or expire due to their natures.

You understand and agree that we will deliver various notices to you in the following reasonable ways:

(1) Website announcements;

(2) In-app messages or messages sent by the software;

(3) Email address or mobile number provided by you in advance.

We will use one or more of the aforementioned ways to send you various notices. Matters told in such notices may have significant favorable or otherwise impacts on your rights or obligations. Please check such notices in a timely manner.

You should provide us with true and valid contact information so that we can contact you. (You are advised to use an email address.) You are obligated to update the contact information in a timely manner in the event of any changes to it, and stay available for contact. You shall be solely liable to bear any loss incurred to you during your use of the Services because you cannot be reached using the contact information.
